Partner Agreement
Last reviewed 23 October 2026
This agreement is for IT providers and agencies that run Ascripto for their customers. It adds to our Terms of Service and Data Processing Agreement, which also apply to you, and says what changes when you act for other organisations.
1. What this agreement is
It is between Andrii Koptiukh Software Developer, a sole trader registered in CEIDG (the Polish business register), ul. Dąbska 20 lok. 39, 31-572 Kraków, Poland, NIP 5213970831, VAT-EU PL5213970831, trading as Ascripto (“we”, “us”), and the organisation that applies to be a partner (“the partner”, “you”). Whoever applies accepts it for that organisation and confirms they are authorised to. It takes effect when we approve the application. On anything it covers, it prevails over the Terms of Service; everything else is as the Terms say.
A “customer” is an organisation whose workspace you manage through Ascripto. The Terms call each customer “the customer” for its own workspace, and that does not change.
2. Becoming a partner
- You apply in the app, signed in with your organisation’s Google Workspace or Microsoft 365 account; your organisation is taken from that sign-in. We may approve or decline an application without giving reasons.
- When we approve you, we set your discount (section 7). We may also name one of your workspaces as your own (section 10).
- We may suspend you as a partner if you breach this agreement or the Terms. While you are suspended, your people cannot reach your customers’ workspaces.
3. Your people
- You invite your people as members, as admins or technicians. Invitations go to your own domain and are accepted with a sign-in from your organisation. Admins also manage members, billing and which customers you keep.
- Every member works in every one of your customers’ workspaces. Invite only people who should, and remove anyone who leaves or no longer should; removal takes effect at once.
- What your people do in Ascripto, you do. You are responsible to us and to your customers for it.
4. Your customers
You take on a customer in one of two ways.
A new workspace you create for a customer. You accept the Terms of Service and the Data Processing Agreement on the customer’s behalf, and you confirm you are authorised by the customer to do so. We record who accepted, when and which version. The agreement for that workspace is then between the customer and us, as if the customer had accepted it itself. If you were not authorised, you are liable to us for the loss that causes. You hold the workspace until someone at the customer accepts your invitation to own it; from then, its owner is the customer’s.
A customer that already uses Ascripto. You ask, and its owner approves or declines. We tell you nothing about a workspace whose owner has not approved you.
Either way, the workspace and everything in it belong to the customer, and its owner can remove you at any time, without notice to you.
5. Working in a customer’s workspace
- Your people act there as administrators. They cannot remove the customer’s owner, transfer ownership or delete the workspace.
- Act only for that customer and within what it has authorised you to do. Section 5 of the Terms applies to everything you do in each workspace.
- Every action is recorded under your organisation’s name, and the customer sees it in the workspace’s history.
- Steps in the customer’s own Google Workspace or Microsoft 365, such as connecting its directory or deploying the Outlook add-in, need an administrator of that tenant. A setup link lets the customer’s administrator take one without an Ascripto account: anyone who holds it can use it until it is used, revoked or expires, so send it only to that administrator.
- The templates in your library are yours. A copy you apply to a customer’s workspace becomes part of that customer’s data. You must have the right to every image and text in a template you apply.
6. Data protection
Each customer is the controller of the personal data in its workspace, and we are its processor under the Data Processing Agreement, including where you accepted it for the customer. You act for the customer under your own agreement with it, which must allow what you do in Ascripto and, where you process personal data for the customer, meet Article 28 of the GDPR. You are not our sub-processor, and we are not yours.
Your people’s own data, and your organisation’s records as a partner, we handle as our privacy policy describes.
7. Fees and payment
- You pay for each customer workspace you choose a paid plan for, and for each one handed over to you (section 8), at the prices on our pricing page less your discount. Your discount is 25% unless we agree another with you; we may change it for future months with 30 days’ notice.
- Each workspace is billed by calendar month (UTC). Its month costs the plan’s monthly minimum, in proportion to the days you paid for it, or the people counted for it that month at the plan’s price per person, whichever is more, at the highest plan it held in the month. Who counts is as the Terms describe. Moving a workspace up takes effect at once; moving it down takes effect at the end of the month. There is no trial on a workspace you pay for.
- One invoice a month: on the 1st we issue an invoice for the month before, with a line per workspace, and charge it to the payment method you saved. Currency, VAT and the VAT ID are as section 6 of the Terms describes, by your own billing country.
- What you charge your customers is between you and them. We are not party to it, and your obligation to pay us does not depend on them paying you.
- If an invoice is still unpaid 14 days after it was issued, we may suspend every workspace you pay for until it is paid. The effect on mail routed through our relay is as section 6 of the Terms describes. Tell your customers before you let this happen; their data is not deleted for it.
8. A customer that pays for itself
When a customer paying its own subscription approves you, its subscription ends at the end of its current billing period and you pay from that moment, so nobody pays twice for the same days.
9. Letting a customer go
- You can let a customer go at any time, and its owner can remove you at any time. Either way, you pay for the workspace to the end of that calendar month, and your people lose access at once.
- The customer’s owner then has 14 days to choose a plan and pay for it; otherwise the workspace drops to the free audit. Tell the customer in good time if you are letting it go.
- A workspace you still hold, with no owner at the customer, cannot be let go: invite an owner at the customer first, or ask us to close it.
10. Your own workspace
We may name one workspace of yours as your own. It has the Business plan free of charge, for your own use and demonstrations, not for resale, and it is where your library’s templates are made. We may withdraw it at any time; it then drops to the free audit unless you choose a plan.
11. Our name, and independence
While you are approved you may say that you are an Ascripto partner. Do not suggest that we endorse your services beyond that, or make promises about Ascripto that the Terms do not. Neither of us is the other’s agent, and neither can bind the other.
12. Ending this agreement
You can end this agreement at any time by writing to hello@ascripto.com. We can end it with 30 days’ notice, or at once if you seriously breach it or the Terms and do not fix the breach within 14 days of our notice. When it ends, every customer is let go as section 9 describes, and fees already incurred stay due. Before it ends, hand each workspace you still hold to an owner at the customer; we contact the customer about any you have not.
13. Everything else
The Terms of Service apply to this agreement in all else, including confidentiality, liability, changes and the law and courts. For the liability limit, the fees you paid us are those for all your customers’ workspaces together. Notices to you go to your partner admins’ email addresses.
